Holding şirketleri, faaliyetlerini devam ettirebilmek için oluşan finansman ihtiyaçlarını; banka ve diğer finans kuruluşlarından kullandıkları krediler ile sağlayabildikleri gibi, holding şirketi çatısı altında bulunan ve Holding’in iştiraki olduğu şirketlerden borç para almak suretiyle de temin edebilmektedirler. Uygulamada; holdinglerin, holding çatısı altında olan iştiraklerine olan borçları, Holding’in yine holding çatısı altında bulunan bir başka iştirakine ait hisseleri devretmek suretiyle ödedikleri görülmektedir. Bu durumda; holdingler tarafından mevcut borçları karşılığında iştirak hissesi devredilmesi sonucunda elde edilen satış kazançlarının 5520 sayılı Kurumlar Vergisi Kanunu’nun1 (KVK) 5inci maddesinin 1’inci fıkrasının ( e ) bendinde hüküm altına alınan iştirak hissesi satış kazancı istisnası karşısındaki durumu tartışma konusu olmaktadır. Bu çalışmada yukarıda ifade edildiği şekilde elde edilen iştirak hissesi satış kazancının, KVK’nın 5/1-e maddesi karşısındaki durumu geniş bir çerçevede ele alınarak ortaya çıkan tereddütler aydınlatılmaya çalışılmıştır.
In order to continue their operations, Holding companies can provide their financing requirements not only through loans they use from banks and other financial institutions, but also by borrowing money from companies within the holding company and in which the Holding is a subsidiary. In practice, it is seen that the holding company pays its loans, which is to its subsidiary company within the holding, by the way of transferring its shares of the holding’s other subsidiary. In this situation; as a result of the transfer of subsidiary shares in return for the holdings’ existing loans(debts), the situation of the sales profits, which is obtained by the holdings, is a matter of debate against the sales profit exemption of the subsidiary shares in Article 5/1-e of the Corporate Tax Law No. 5520 In this study, the situation of the sales profit exemption of the subsidiary shares obtained as stated above, against the article 5/1-e of the KVK, is discussed in a broad framework and the hesitations that arise are tried to be clarified.
