Türk Vergi Sistemi’nde, kurumların mali yapılarının güçlendirilmesi amacıyla, bazı taşınmaz satışlarının kurumlar vergisi ve katma değer vergisinden istisna edilmesi suretiyle vergi avantajları sağlanmaktadır. Taşınmaz ticaretiyle uğraşan kurumların bu amaçla ellerinde bulundurdukları değerlerin elden çıkarılması durumu belirtilen vergi istisnaları kapsamı dışında kalmaktadır. Vergi idaresi, ağırlıklı olarak, “şirket sözleşmesinde taşınmaz ticareti ve kiralanması gibi ibarelere faaliyet konuları arasında yer verilmesi” halinde söz konusu kısıtlayıcı şartın gerçekleştiğine ilişkin görüş vermektedir. Bu çalışmada, ifade edilen yaklaşımın; işletmenin faaliyet konusunun gerçek durum yerine şekli unsura bağlı kalınarak belirlenmesi ve satışı yapılan taşınmazın elde bulundurulma amacının dikkate alınması yerine taşınmaz ticaretiyle uğraşılması durumunun istisna kapsamı dışında kalma kriteri olarak kabul edilmesi gerekçesiyle konuya ilişkin yasal düzenlemelerle örtüşmediği tespit edilmiştir. Bu nedenle, yargı kararları ve vergi idaresince verilen bazı görüşlerde de rastlanıldığı üzere, üretim ve idari işler gibi alanlara tahsis edilmek suretiyle işletme faaliyetlerinin yürütülmesinde kullanılan taşınmazların satışı durumunda, işletmenin faaliyet konusuyla bağlı kalınmaksızın, söz konusu vergi istisnalarından yararlanılması gerektiği değerlendirilmektedir.
In the Turkish Tax System, tax advantages are provided by exempting certain real estate sales from corporate tax and value added tax in order to strengthen the financial structures of the institutions. Exemption of the values held in the hands of the institutions dealing with immovable trade for this purpose is outside the scope of the tax exemptions specified. The tax administration is mainly concerned with the fact that the restrictive condition has been fulfilled in the case of “placing the property contracts in the company contract between real estate transactions such as immovable trade and leasing”. In this study, it has been determined that the operation of the enterprise is determined by adhering to the facts rather than the actual situation and that the situation of dealing with immovable trade instead of taking into consideration the purpose of holding the sale of the immovable is not considered as a criterion for exclusion from the scope of the exemption. For this reason, it is evaluated that in case of sale of immovables used in the execution of business activities by allocation to fields such as production and administrative works, such as judicial decisions and some opinions given in tax administrations, it is considered that such tax exemptions should be utilized without adhering to the business activity.
